Liability
To the maximum extent permitted by law, REEDLAB will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to your use of the Services. To the maximum extent permitted by law, REEDLAB’s total liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount you paid to REEDLAB in the six (6) months before the event giving rise to the claim or (b) $100, unless applicable law requires otherwise.
Indemnity
You agree to defend, indemnify, and hold harmless REEDLAB and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.
Disputes
You agree to contact us first to attempt informal resolution of any dispute. If we cannot resolve a dispute informally, you and REEDLAB agree that disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, except where prohibited by law. You and REEDLAB agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Nothing in this section prevents either party from bringing an eligible claim in small claims court or seeking injunctive or equitable relief to protect intellectual property rights or prevent unauthorized access.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles, except where applicable law requires otherwise.
Changes
We may update these Terms from time to time. If we make material changes, we will provide notice by updating the “Last Updated” date and/or providing additional notice through the Services. By continuing to use the Services after changes become effective, you agree to the updated Terms.
