Creating an Account

You may need to register for an account to use some of our Services. When you do, you agree to:

• Provide true, accurate, and complete information.
• Keep your information updated.
• Keep your password confidential and take responsibility for all activity that occurs under your account.

We reserve the right to reclaim or change a username if we find it inappropriate (for example, if it’s obscene or offensive).

Your Representations

By using the Services, you represent and warrant that:

• You have the legal capacity to agree to these Terms.
• You are not a minor in the jurisdiction where you live.
• You will not use bots, scripts, or other automated means to access the Services.
• You will not use the Services for any illegal or unauthorized purpose.

If you provide any information that is untrue or incomplete, we have the right to suspend or terminate your account.

We accept the following forms of payment: Visa, Mastercard, American Express, Discover, and PayPal. All prices are in U.S. dollars.

Billing Information

You agree to provide current, complete, and accurate purchase and account information for all purchases. You authorize us to charge your chosen payment method for all charges, including any applicable taxes and shipping fees.

Orders and Pricing

All products are subject to availability, and we reserve the right to discontinue any product at any time. Prices are subject to change. We reserve the right to refuse any order and may limit or cancel quantities purchased. This is to prevent orders that appear to be placed by dealers, resellers, or distributors.

Subscriptions

If you purchase a subscription, it will automatically renew unless you cancel it. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term.

Refunds

All sales are final, and no refunds will be issued.

We are the owner or licensee of all intellectual property rights in our Services. This includes all source code, software, website designs, text, graphics, and trademarks (the “Content” and “Marks”). This material is protected by copyright and trademark laws.

You are granted a limited license to access the Services and to download or print a copy of the Content for your personal, non-commercial use. You may not copy, reproduce, distribute, sell, or otherwise exploit any part of our Services, Content, or Marks for any commercial purpose without our express written permission.

Feedback and Submissions

If you send us any questions, comments, suggestions, or feedback (“Submissions”), you agree to assign all intellectual property rights in those Submissions to us. We will own the Submission and can use it for any lawful purpose without acknowledgment or compensation to you.

User-Generated Contributions

While our Services may not currently include public forums, we may provide you with the opportunity to create or submit content (“Contributions”). You retain full ownership of your Contributions, but you are solely responsible for them. By providing Contributions, you warrant that:

• You are the creator and owner of the content or have the necessary licenses and permissions.
• Your Contributions do not infringe on the rights of any third party (e.g., copyright, trademark, or privacy rights).
• Your Contributions are not false, misleading, obscene, harassing, or in violation of any law or our “Prohibited Activities” rules.

You agree to release us from any responsibility and refrain from any legal action against us regarding your Contributions.

You agree not to use the Services to:

• Systematically retrieve data to create a collection or database without our permission.
• Trick, defraud, or mislead us or other users.
• Interfere with security-related features of the Services.
• Disparage, tarnish, or otherwise harm us or the Services.
• Harass, abuse, or harm another person using information obtained from the Services.
• Use the Services in a way that violates any applicable laws or regulations.
• Upload viruses, spam, or other harmful material.
• Engage in any automated use of the system, like data mining or using bots.
• Attempt to impersonate another user.
• Use the Services to compete with us or for any revenue-generating purpose.

A breach of these rules is a material breach of our Terms, and your right to use our Services will terminate immediately.

Disclaimer

The Services are provided on an as-is and as-available basis. You agree that your use of the services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties about the accuracy or completeness of the services’ content and assume no liability for any errors, personal injury, property damage, unauthorized access, or bugs/viruses transmitted through the services.

Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit or lost data, arising from your use of the services. Our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

Certain state and international laws do not allow limitations on implied warranties or the exclusion of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.

You agree to defend, indemnify, and hold us harmless (including our subsidiaries, affiliates, and employees) from any loss, damage, liability, or claim, including reasonable attorneys’ fees, made by any third party due to or arising out of: (1) your use of the Services; (2) your breach of these Terms; or (3) your violation of the rights of a third party.

These Terms are governed by the laws of the State of Delaware. To resolve a dispute, we encourage you to contact us first.

Binding Arbitration

If we cannot resolve a dispute through informal negotiations, it will be resolved by binding arbitration conducted by the American Arbitration Association (“AAA”). You understand that without this provision, you would have the right to sue in court and have a jury trial.

The arbitration will be limited to the dispute between you and us individually. There is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class-action procedures.

Exceptions to Arbitration

Disputes related to intellectual property rights, theft, piracy, or invasion of privacy are not subject to arbitration and may be brought in a court.

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us.
• Severability: If any provision of these Terms is found to be unlawful or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions.
• No Waiver: Our failure to exercise any right shall not operate as a waiver of such right.
• Assignment: We may assign our rights and obligations to others at any time.
• Electronic Communications: You consent to receive electronic communications from us and agree that they satisfy any legal requirement that such communications be in writing.
